Terms and Conditions for Contractors and Drivers
1. CITY CARS operates as a private hire company at 31, WALNUT LANE, CRAWLEY, RH11 7NH,
2. We offer jobs to operators and drivers time to time by auction. All Jobs that are offered for auction have been provided by CITY CARS for the sole purpose of Contractors providing service on Jobs, by Winning Bid of the Contractor that is accepted by CITY CARS. All Jobs in the Auction will remain to be deemed as the Clients of CITY CARS at all times to avoid the winning contractor approaches the Clients provided by CITY CARS directly or indirectly for any reason other than those instances which have been pre-authorised by CITY CARS.
3. All Contractors and drivers should have licensed by authorities to provide the said Service in their locality, and have considerable skill, knowledge, and experience in doing so. The aforementioned Contractor on acceptance of the Winning Bid to provide certain Services to Clients, and in signing or by pressing the proceed button the Contractor has agreed to accept the conditions of this agreement. In this agreement where the context admits; CITY CARS hereby appoints the Contractor on a non-exclusive basis for the purpose of providing Services on Jobs that fall within the Territory subject to the conditions of this agreement.
4. Each placement of a bid will constitute a legal offer and shall be binding on you.
any Bids will not be accepted unless they are at least £0.50 lower than the current lowest bid and must meet any other conditions which may be specific to each Auction.
CITY CARS will notify you by email to confirm the Winning Bid if your bid has been deemed to be the Winning Bid, and details of the relevant Jobs will be made available. Also CITY CARS reserves the right to close an Auction early or to extend it at any time. An Auction may be cancelled or refuse or remove bids in its absolute discretion.
4.1 In any dispute between you and another bidder, CITY CARS is under no obligation to become involved in such dispute. You hereby release City Cars, its officers, employees and agents and the Agents from any claims, demands or damages arising out of.
5. You acknowledge that all information that is provided as a description of each of the Jobs is reproduced by CITY CARS in good faith and is consistent with information supplied to CITY CARS. As such, CITY CARS cannot be held responsible for inaccurate information.
6. Unless otherwise agreed by CITY CARS, Payments to Contractors will be released to Contractors on a weekly basis and will be deposited into the Contractors bank account. Any monies payable by Contractors due to CITY CARS on Cash Jobs will be offset in accordance with amounts due to the Contractor from City Cars for Account Jobs. The amount of the Winning Bid shall be inclusive of any applicable VAT.
7. CITY CARS reserves the right to review this agreement at any time it sees fit in order to improve the Services that it provides to Clients. The Contractor shall in performing his activities; look after the interests of CITY CARS and act dutifully and in good faith and in accordance with the conditions as set out in this agreement. For the avoidance of doubt, Contractors may not without the prior approval of CITY CARS, subcontract any element of the service whether in its entirety or in part to any other entity. The Contractor will not approach clients provided by CITY CARS directly or indirectly with regards payment for Services provided or for any other reason.
7.1 The Contractor will at all times comply with all laws and licensing regulations, legislation, legal responsibilities & duties deemed to be enforced in the territory for the duration of this agreement. Also the Contractor will compensate CITY CARS on non-provision of Services that have been accepted by the Contractor.
7.2 In the event that the Contractor has a "No Show" the following payment amounts supersede the Winning Bid amount It is a condition of this agreement that the Contractor must provide a car park receipt when collecting clients from airports which result in a No Show. No Show Payments to Contractors will be subject to adherence of the provisions of this agreement, furthermore the contractor must ensure that 45 minutes as a minimum time allowance is provided after the pick up time to allow for possible client delays at airports, and 15 minutes on all other collection points.
i. If a No Show on a Account job the entire burden of chargebacks will be bourne by CITY CARS, Standard flat payments from airports will be £10.00 (GBP) plus the cost of a car park fee of up to a maximum of 1 hour,. Standard flat payments for journeys from locations other than airports will be £10.00 (GBP).
ii. If a No Show on a cash job there will be no, "No Show" payment due! However, the Contractor must provide the car park receipt if applicable detailing timings. Failure on the part of the Contractor to provide car park receipts as such will deem that the Service has no taken place and any commission due to CITY CARS will become applicable.
iii. Contractor No Show: In the instance when a Contractor has accepted an order for Service and subsequently does not provide the Service to the Client or does not inform CITY CARS a minimum of 60 minutes in advance of the time of required service of the intention directly or indirectly of the Contractor to not provide the said Service the order is deemed to be a "Contractor No Show" which will result in the Contractor being liable for any loss to CITY CARS in monetary terms being the value of the amount of the Winning Bid and or additional charges such as; flight tickets, hotel cost, additional vehicle hire etc. Compensation by the Contractor will be made to CITY CARS on non-provision of Services on reservations that have been accepted by the Contractor and shall indemnify CITY CARS in full against all loss (including loss of profit), cost (including the cost of all labour and materials used), damages, charges, deductions and expenses incurred by CITY CARS as a result of the non-provision of the said Service.
iv. In the event that a complaint is made with CITY CARS with regards to Services rendered by a Contractor payments pertaining to the Service in question payable to the Contractor will be retained or a penalty will be imposed by CITY CARS until the Contractor has provided a justified response in connection with the said complaint.
v. As a condition of this agreement the following Service standards must be followed by Contractors; Vehicles provided by Contractors must be clean inside and out, have clean windows and an empty boot space for luggage and all drivers must follow a basic dress code smart shirt/blouse, tie/scarf, trousers/skirt, shoes. Contractors that do not meet this basic standard will be subject to a penalty amount of £10.00
8. Waiting time Can only be charged from clients if authorised by CITY CARS.
9. In the instant lost property items left behind by a Client in a vehicle, the Contractor must immediately inform CITY CARS. Any items of property found should be brought to CITY CARS
10. Liability. CITY CARS will use all reasonable efforts to correct errors and omissions as quickly as practicable after being notified of them.
CITY CARS shall not in any circumstances be liable in contract or tort (including negligence and breach of statutory duty) for any indirect or consequential loss, howsoever caused or arising in connection with this Agreement, or Jobs purchased by you. Without prejudice to any of the foregoing, you agree that CITY CARS will only be liable for direct loss up to a maximum total of the amount of the Winning Bid in respect of any one incident or series of incidents attributable to the same cause.
11. Suspension In the event that the Contractor/Driver is in breach of this agreement and the conditions that are applicable, the Contractor will be suspended immediately until further notice and CITY CARS will not be held liable in any way. Either party may terminate this agreement forthwith by giving written notice to the other. This agreement shall come into force on the date of signing and shall continue in force for a period of 1 year from that date with automatic renewal at the time of the expiration of the agreement for a period of 1 year thereafter. City Cars may terminate this agreement forthwith by giving written notice to the Contractor /Driver in any of the following events: 1 If the Contractor fails to fulfil his obligations 2 If the Contractor is in breach of the conditions of this agreement.
This agreement has been accepted and digitally signed securely. The signatory agrees this is the legal equivalent of manual signature.
